This End-User License Agreement ("Agreement") is a legal contract between you (the "User" or "Licensee") and Nexus LLC ("Company", "we", "us", or "our") regarding the access and use of our proprietary software, applications, tools, or any digital components we provide (collectively, the "Product").

By downloading, installing, or using the Product, you agree to comply with and be bound by the terms of this Agreement. If you do not agree, you must not use or install the Product.

License Grant

We grant you a limited, non-transferable, non-sublicensable, non-exclusive, and revocable license to use the Product solely for your personal or internal business use, in accordance with its intended purpose and this Agreement.

This license does not include the right to:

Resell, rent, lease, or sublicense the Product;
Modify, translate, reverse-engineer, disassemble, or decompile any part of the Product;
Remove or obscure any proprietary notices;
Use the Product in violation of applicable laws or third-party rights.

Intellectual Property

The Product and all intellectual property associated with it (including but not limited to code, design, documentation, and trademarks) are owned exclusively by the Company or its licensors. All rights not explicitly granted in this Agreement are reserved.

You acknowledge that no ownership rights are transferred to you under this Agreement.

Restrictions on Use

You agree that you will not:

Use the Product for any illegal, abusive, or unauthorized purpose;
Access or attempt to access any systems or data not intended for you;
Introduce malicious code or disrupt the performance of the Product;
Bypass any technological protections or access controls.

Updates and Changes

We may release updates, upgrades, patches, or new versions of the Product from time to time. These may be installed automatically or manually. We reserve the right to modify or discontinue any features or components of the Product at any time, with or without notice.

Third-Party Tools and Services

The Product may incorporate or rely upon third-party software, libraries, or APIs. Any such third-party elements are governed by their respective licenses and terms of service. We are not responsible for third-party content or behavior. It is your responsibility to review and comply with any applicable third-party terms.

Disclaimer of Warranties

The Software is provided "as is" and "as available", without any warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including but not limited to: 1) implied warranties of merchantability; 2) fitness for a particular purpose; 3) non-infringement; 4) reliability, availability, or compatibility. We do not guarantee that the Software will be free of errors or interruptions.

Limitation of Liability

To the maximum extent allowed by law, we are not liable for:

Any indirect, incidental, special, or consequential damages;
Loss of data, business opportunities, revenue, or profits;
Issues resulting from the use or inability to use the Product.

Our total liability, whether in contract, tort, or otherwise, shall not exceed fifty U.S. dollars (USD $50).

Termination

This Agreement remains in effect until terminated. Your license will automatically terminate if you:

Breach any provision of this Agreement;
Attempt unauthorized use of the Product;
Are subject to a legal or regulatory request requiring us to suspend or revoke access.

Upon termination, you must delete all copies of the Product from your devices and cease any use.

Governing Law and Jurisdiction

This EULA shall be governed by and construed in accordance with the laws of Georgia, without regard to its conflict of laws principles. Any disputes arising from or relating to this EULA shall be subject to the exclusive jurisdiction of the courts of Georgia.

Severability

If any part of this Agreement is found to be unenforceable, the remaining sections shall remain in effect. The failure of either party to enforce any provision shall not constitute a waiver of future enforcement.
